GLARE TECHNOLOGIES LIMITED SOFTWARE LICENSE AGREEMENT

== SOFTWARE LICENSE AGREEMENT ==

This Software License Agreement is made between Glare Technologies Limited ("Glare") and the Licensee. Glare has developed and licenses to users its software program Chaotica ("the software"). Licensee desires to utilize a copy of the Software. Glare and Licensee agree as follows:

== License ==

Following payment of the License fee, Glare grants to the Licensee a personal, non-exclusive, non-transferrable license to use the Software as set forth in this Agreement.

== Usage ==

This License is an installation of the software on one PC with no limit to the number of cores or CPUs in the PC. Each PC must have its own product license. Multiple users may not access the installation of the software concurrently. Any additional installations of the software that are accessed via the network functionality must be licensed seperately.

This license comprises the software, and instruction and user manuals.

== Refunds ==

All sales are final and purchases will not be refunded.

== Restrictions==

Licensee shall not modify, copy, duplicate, reproduce, license or sublicense the Software, or transfer or convey the Software or any right in the Software to anyone else without the prior written consent of Glare.

The user may not reverse engineer, decompile or dissassemble the software.

== Ownership of IP ==

Glare is the owner of the Software and retains all Intellectual Property rights to the software.

== Warranty of Functionality ==

Glare does not warrant that the Software is appropriate for a specific use, and that it can carry out any specific function. The user must report any defect or error that may be detected to Glare within 30 calendar days after having received the software.

== Limitation of Liability ==

Glare shall not be responsible for, and shall not pay, any amount of incidental, consequential or other indirect damages, whether based on lost revenue or otherwise, regardless of whether Glare was advised of the possibility of such losses in advance. In no event shall Glare's liability hereunder exceed the amount of license fees paid by Licensee, regardless of whether Licensee's claim is based on contract, tort, strict liability, product liability or otherwise.

== Governing Law.==

This Agreement shall be construed and enforced in accordance with the laws of New Zealand.
